2. Definitions

3. Acceptance of these terms

By creating an account, starting a free trial, or using the Service in any way, you confirm that you have read, understood and agree to be bound by these terms. If you subscribe on behalf of a firm, chambers, partnership or company, you warrant that you are authorised to bind that entity, and "you" includes that entity.

These terms, together with our Privacy Policy, constitute the entire agreement between us in respect of the Service.

4. Who may subscribe

The Service is offered to legal practitioners and legal practices. To subscribe you must:

You remain solely responsible for your own compliance with the Legal Practice Act 28 of 2014, the rules of the Legal Practice Council, and any applicable Bar or professional code of conduct. Nothing in the Service relieves you of your professional obligations.

5. The Service

ChambersPro provides software for managing legal matters, including matter records, court dates, documents, fee and expense tracking, invoicing, consultation records, briefs received from instructing attorneys, and, on applicable Plans, artificial-intelligence-assisted document summarisation, legal research and transcription.

ChambersPro is a software tool. We are not a law firm, we do not practise law, and we do not provide legal advice. No relationship of legal representation arises between you and us, and no attorney-and-client or advocate-and-client relationship is created by your use of the Service.

We may add, modify, or discontinue features from time to time. Where we discontinue a material feature of your Plan, we will give you at least 30 days' notice by email and you may cancel under clause 9 without penalty.

6. Your account

7. Free trial

We offer a 14-day free trial of the Service. The trial:

If you do not subscribe by the end of the trial, your access will be suspended. Your Content will be retained for 30 days after the trial ends, during which you may subscribe and regain access or request an export, after which it may be permanently deleted.

8. Subscription plans, fees and billing

8.1 Plans and prices

Our Plans and current prices are set out below. All prices are in South African Rand.

PlanPrice per monthBilling
StarterR299Monthly in advance
PracticeR699Monthly in advance
ChamberR1,499Monthly in advance
SC SuiteR2,499Monthly in advance

The price shown is the total price payable. We are not a registered VAT vendor, and accordingly no value-added tax is added to our fees. There are no set-up fees, no activation fees and no hidden charges. You are responsible for your own internet access and device costs.

8.2 Billing cycle

Subscriptions are billed monthly in advance. Your first payment is taken on the day you subscribe, and thereafter on the same day of each month. Where a month does not contain that day, payment is taken on the last day of that month.

8.3 Payment method

Payments are processed by Payfast, a licensed South African payment service provider. We accept credit and cheque cards, Instant EFT and the other methods Payfast makes available. By subscribing you authorise us, through Payfast, to debit the applicable fee on each billing date until you cancel.

We do not receive, process or store your full card details. Card data is captured and held by Payfast in accordance with its own terms and applicable payment card industry standards.

8.4 Failed payments

If a payment fails, we will notify you by email and may re-attempt collection. If payment remains outstanding 7 days after the due date, we may suspend your access until the account is brought up to date. We will not delete Your Content on account of non-payment for at least 60 days after suspension.

8.5 Upgrades and downgrades

You may change your Plan at any time from within the Service. An upgrade takes effect immediately and we will charge the pro-rata difference for the remainder of the current Subscription Period. A downgrade takes effect at the start of your next Subscription Period, so you keep the higher Plan's features for the period you have already paid for.

8.6 Price changes

We may change our prices. We will give you at least 30 days' written notice by email before any increase takes effect. The new price applies from your next Subscription Period after the notice period expires. If you do not accept the increase, you may cancel under clause 9 before it takes effect, and no increased amount will be charged to you.

9. Cancellation policy

In short

You may cancel at any time, for any reason, with no penalty and no notice period. You keep access until the end of the month you have already paid for, and you are not charged again.

9.1 How to cancel

You may cancel your subscription:

We will acknowledge your cancellation by email within one business day. If you do not receive an acknowledgement, please contact us — an unacknowledged cancellation request that we can verify will still be treated as effective from the date you sent it.

9.2 When cancellation takes effect

Cancellation stops all future billing immediately. Your access continues until the end of the Subscription Period you have already paid for, and terminates at the end of that period. You are not charged again and there is no cancellation fee, penalty or exit charge.

9.3 Your Content after cancellation

Before your access ends you may export Your Content using the export function in the Service. After your subscription terminates we retain Your Content for 60 days, during which you may reactivate or request an export by emailing us. After 60 days we may permanently delete Your Content and it cannot be recovered. If you require a longer retention period for professional or regulatory reasons, tell us before your access ends and we will accommodate a reasonable request in writing.

9.4 Cancellation during the free trial

You may stop using the trial at any time. Because no payment method is collected for the trial, there is nothing to cancel and no amount will be charged.

10. Refund policy

In short

Because we give you a full 14-day free trial before you pay anything, subscription fees already paid are not refunded. We do refund you where we have charged you in error, charged you twice, or failed to provide the Service for a prolonged period.

10.1 General position

Subscription fees are paid monthly in advance and are non-refundable, including where you cancel part-way through a Subscription Period or do not use the Service during that period. You are not charged for any period after cancellation, and you retain access for the full period you paid for (clause 9.2).

We adopt this position because the Service is offered with a genuine, full-featured 14-day free trial that requires no payment details. You are able to evaluate the Service completely before any amount is charged.

10.2 When we will refund you

We will refund you in the following circumstances:

10.3 How to request a refund

Email lex@chamberspro.com with your account email, the amount, the date of the charge and the reason. We will respond within 5 business days. Approved refunds are paid within 10 business days of approval.

10.4 How refunds are paid

Refunds are made through Payfast to the same card or account used for the original payment, in South African Rand. We cannot refund to a different card or account. A refund will never exceed the amount of the original transaction. Your bank may take a further 3 to 10 business days to reflect the credit.

11. Delivery policy

In short

ChambersPro is software delivered electronically. There is nothing physical to ship. Access is granted immediately and automatically once your payment is confirmed.

ChambersPro supplies no physical goods. Nothing is couriered, posted or delivered to an address, and no delivery or shipping charge is ever payable.

11.1 How the Service is delivered

The Service is delivered electronically, over the internet, by way of access to your account at chamberspro.com.

11.2 When the Service is delivered

11.3 Confirmation

We send a confirmation email to your registered address on activation of your subscription and on each subsequent payment. That email is your proof of purchase and serves as your invoice.

11.4 If delivery does not occur

If your payment is confirmed but your access is not activated within one hour, email lex@chamberspro.com. We will restore access or, if we cannot do so within a reasonable time, refund that payment in full under clause 10.2.

12. Statutory cooling-off rights

Section 44 of ECTA gives a consumer who concludes an electronic transaction the right to cancel it without reason and without penalty within seven days of the date the agreement for services was concluded.

Section 42(2) of ECTA excludes that right in respect of services which began, with the consumer's consent, before the seven-day period expired. Because access to the Service is activated immediately on payment at your request (clause 11.2), the section 44 right will ordinarily not apply to a paid subscription.

We nonetheless give you more than the statute requires. The 14-day free trial in clause 7 lets you evaluate the entire Service, at no cost and with no payment method on file, for twice the statutory cooling-off period before you commit to anything. Nothing in these terms limits any right you may have under section 44 of ECTA or under the CPA to the extent those rights apply to you.

13. Your data and confidentiality

Your Content is yours

We claim no ownership of Your Content. We do not sell it, we do not use it to train artificial intelligence models, and we do not disclose it except as set out in these terms or as the law requires.

13.1 Ownership

As between you and us, you own Your Content. You grant us a limited, non-exclusive licence to host, store, transmit, back up, display and process Your Content strictly to the extent necessary to provide the Service to you, to support you, and to comply with the law. That licence ends when Your Content is deleted.

13.2 Legal professional privilege

We recognise that Your Content is likely to include material subject to legal professional privilege and to your professional duty of confidentiality. Accordingly:

Storing privileged material with us does not waive privilege. You remain responsible for asserting privilege on behalf of your clients.

13.3 Security

We maintain appropriate technical and organisational measures to protect Your Content, including encryption of data in transit and at rest, access controls, database-level access rules that isolate each subscriber's data, and regular backups. No system is perfectly secure, and we do not warrant that a breach can never occur.

13.4 Backups

We take regular backups of the Service. Backups are a disaster-recovery measure for us and are not a substitute for your own record-keeping. You should maintain your own copies of critical matter records in accordance with your professional obligations, using the export function in the Service.

14. Data protection and POPIA

14.1 Our respective roles

Where Your Content contains personal information about your clients, opposing parties, witnesses or other third parties, you are the responsible party and we act as your operator, as those terms are used in POPIA. We process that personal information only on your documented instructions and only to provide the Service.

This clause 14 constitutes the written contract required by section 21 of POPIA between a responsible party and its operator.

14.2 Our obligations as operator

We will:

14.3 Your obligations as responsible party

You warrant that you have a lawful basis for collecting and processing the personal information you place in the Service, and that you have given any notices and obtained any consents required by POPIA, including in respect of special personal information and any recording of consultations. You are responsible for obtaining the consent of every participant before recording a consultation and uploading it for transcription.

14.4 Sub-operators and cross-border processing

We use the following sub-operators to provide the Service. Some process data outside South Africa, which engages section 72 of POPIA:

SupabaseDatabase, authentication and file storage. Processed outside South Africa (European Union — Ireland).
AnthropicArtificial intelligence processing for document summarisation and legal research. Processed outside South Africa. Anthropic does not use content submitted through its business interfaces to train its models.
AssemblyAISpeech-to-text transcription of consultation recordings you choose to upload. Processed outside South Africa.
PayfastPayment processing. Processes your billing information, not Your Content.

Each sub-operator is bound by contractual obligations to protect personal information on terms substantially similar to those in this clause 14. By using the artificial intelligence and transcription features, you instruct us to transmit the relevant content to those sub-operators for processing, and you confirm you are satisfied that doing so is consistent with your professional and POPIA obligations. If you do not wish any content to leave South Africa, do not use those features — the rest of the Service operates without them. We will give you at least 30 days' notice before adding a new sub-operator that processes Your Content, and you may cancel under clause 9 if you object.

14.5 Your own privacy

Our handling of your personal information as our own customer is described in our Privacy Policy.

15. Artificial intelligence features

You must verify AI output

Artificial intelligence output is a drafting aid, not legal advice, and it can be wrong. You must independently verify every authority, citation and proposition before relying on it or placing it before a court.

On applicable Plans the Service offers artificial-intelligence-assisted summarisation, research and drafting support. In relation to those features:

Courts in South Africa and elsewhere have censured practitioners who placed unverified, artificially generated citations before them. Verification is your responsibility alone.

16. Acceptable use

You must not, and must not permit any User to:

17. Availability, maintenance and support

We aim to make the Service available 99% of the time each calendar month, excluding scheduled maintenance. This is a target, not a contractual service level, unless we have agreed a separate written service level agreement with you.

We may carry out scheduled maintenance, and will give reasonable advance notice by email or in-app notice where that maintenance is likely to cause material disruption. We will use reasonable endeavours to schedule maintenance outside ordinary court hours. Emergency maintenance may be carried out without notice.

Support is provided by email at lex@chamberspro.com during business hours (08h00 to 17h00, Monday to Friday, excluding South African public holidays). Chamber and SC Suite Plans receive priority response.

18. Intellectual property

All intellectual property in the Service — including the software, source code, databases, design, interface, brand, name, logo and documentation — belongs to us or our licensors and is protected by South African and international law. These terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own legal practice during your subscription. No other rights are granted.

If you give us feedback or suggestions, we may use them without restriction and without any obligation to you. This does not give us any right in Your Content.

19. Warranties and disclaimers

We warrant that we will provide the Service with reasonable skill and care, and in accordance with these terms.

Save for that warranty and any rights you have under the CPA, the Service is provided "as is". To the fullest extent permitted by law we do not warrant that the Service will be uninterrupted or error-free, that defects will be corrected, that it will meet your particular requirements, or that any output it generates is accurate, complete or fit for any particular purpose.

Nothing in this clause limits or excludes any right you have under the CPA, including the right under section 54 to services performed in a manner and quality that persons are generally entitled to expect.

20. Limitation of liability

Read this clause carefully

This clause limits what we owe you if something goes wrong. It does not, and cannot, limit our liability for gross negligence, fraud, wilful misconduct, or death or personal injury.

Subject to the paragraph below, and to the fullest extent permitted by law:

Nothing in these terms excludes or limits our liability for: gross negligence; wilful misconduct; fraud or fraudulent misrepresentation; death or personal injury caused by our negligence; any liability that may not lawfully be excluded or limited, including under section 51 of the CPA; or our obligation to make a refund due under clause 10.

21. Indemnity

You indemnify us against any claim, loss, damage or expense (including reasonable legal costs) brought by a third party and arising from: your breach of clause 16; your unlawful use of the Service; your breach of your obligations as responsible party under clause 14.3; or your reliance on unverified artificial intelligence output contrary to clause 15. This indemnity does not apply to the extent the claim arises from our own breach, gross negligence or wilful misconduct.

22. Suspension and termination by us

We may suspend or terminate your access:

We may also discontinue the Service entirely on 90 days' written notice, in which case we will refund any fee paid for a period after termination and give you the full notice period to export Your Content.

Except where clause 16 has been breached, we will always allow you a reasonable opportunity to export Your Content before terminating.

23. Changes to these terms

We may amend these terms. We will publish the amended terms on this page with a new effective date and, where the change is material, notify you by email at least 30 days before it takes effect. If you do not accept a material change, you may cancel under clause 9 before it takes effect. Continued use of the Service after the effective date constitutes acceptance.

24. Complaints and dispute resolution

If you have a complaint, please first contact us at lex@chamberspro.com. We will acknowledge within 2 business days and aim to resolve within 15 business days.

If we cannot resolve the matter, the dispute will be referred to mediation by a single mediator agreed between us, failing agreement appointed by the Arbitration Foundation of Southern Africa. If mediation does not resolve the dispute within 30 days, either of us may refer it to the courts.

Nothing in this clause prevents either of us from applying to a court for urgent interim relief, or prevents you from lodging a complaint with the Information Regulator (South Africa) in respect of a POPIA matter, or with the National Consumer Commission in respect of a CPA matter.
